4. Service Agreements and Project Scope

Each engagement with Royal Market is governed by a written service agreement, proposal, or statement of work (SOW), which outlines:

  • Scope of services and deliverables
  • Project timeline and milestones
  • Pricing, payment terms, and invoicing schedule
  • Revision policies
  • Client responsibilities

Any work performed outside of the agreed scope (“scope creep”) may be subject to additional charges, which will be communicated and approved before execution.

5. Payment Terms

5.1 Pricing and Quotes

All quotes provided by Royal Market are valid for 30 days from the date issued unless otherwise specified. Prices listed on our Website are starting prices and final costs are determined based on project requirements.

5.2 Payment Methods

We accept payments via credit/debit cards, bank transfers (ACH/wire), PayPal, Stripe, and other approved payment methods.

5.3 Payment Schedule

Unless otherwise agreed, the following payment terms apply:

  • One-time projects: 50% deposit upfront before work begins; 50% upon project completion or before final deliverables are released.

5.4 Late Payments

Invoices not paid within 7 days of the due date may incur a late fee of 5% per month. Royal Market reserves the right to pause or suspend services until outstanding balances are cleared.

5.5 Non-Refundable Fees

6. Client Responsibilities

To ensure successful project delivery, Clients agree to:

  • Provide accurate, timely, and complete information, materials, and approvals.
  • Respond to communications, requests, and revision feedback within reasonable timeframes (typically within 3–5 business days).
  • Grant necessary access to accounts, platforms, and tools required to deliver services (e.g., Google Ads, Meta Business Manager, website CMS, hosting).
  • Make timely payments according to the agreed schedule.
  • Comply with all applicable laws and platform terms of service.
  • Refrain from requesting unethical, illegal, or black-hat marketing practices.

Delays caused by the Client (lack of feedback, missing content, late approvals) may extend project timelines and are not the responsibility of Royal Market.

7. Deliverables and Revisions

7.1 Delivery Timelines

Estimated delivery timelines will be provided in your service agreement. While we make every effort to meet deadlines, timelines may be affected by project complexity, Client responsiveness, and external factors.

7.2 Revisions

Each service package includes a defined number of complimentary revisions, as specified in your service agreement. Additional revisions beyond the included scope may incur extra charges.

7.3 Approval and Acceptance

Deliverables will be considered approved and accepted if the Client does not provide written feedback within 7 days of delivery.

8. Intellectual Property Rights

8.1 Client-Owned Content

Upon full payment of all invoices, the Client receives full ownership rights to the final deliverables created specifically for them (e.g., custom logos, websites, written content, designs), except for any third-party assets or pre-existing materials.

8.2 Royal Market’s Rights

Royal Market retains the right to:

  • Use completed work in our portfolio, case studies, marketing materials, and website for promotional purposes (unless a non-disclosure agreement states otherwise).
  • Retain ownership of proprietary tools, templates, strategies, processes, source files, and internal methodologies used in the creation of deliverables.

8.3 Third-Party Assets

Any third-party assets (stock images, fonts, plugins, software licenses) used in deliverables remain the property of their respective owners and are subject to their licensing terms.

8.4 Client-Provided Materials

The Client warrants that all materials, content, logos, images, and information provided to Royal Market are owned by the Client or properly licensed, and that their use does not infringe on any third-party intellectual property rights.

9. Confidentiality

Both parties agree to maintain the confidentiality of any proprietary or sensitive information shared during the engagement. This includes business strategies, financial information, customer data, marketing plans, and other non-public materials. Confidentiality obligations remain in effect even after the termination of the engagement.

10. No Guarantee of Results

Royal Market is committed to delivering high-quality digital marketing services using industry best practices. However, due to the nature of digital marketing, we do not guarantee specific results, including but not limited to:

  • Search engine rankings or positions
  • Number of leads, conversions, or sales
  • Return on ad spend (ROAS) or ROI
  • Social media follower growth or engagement rates
  • Website traffic numbers

Digital marketing outcomes depend on numerous external factors such as market conditions, competition, algorithm changes, industry trends, client cooperation, and product/service quality. Any performance estimates provided are for informational purposes only and do not constitute guarantees.

11. Third-Party Services and Platforms

Royal Market may utilize or recommend third-party tools, platforms, and services (e.g., Google Ads, Meta Ads, Shopify, WordPress, hosting providers, email marketing platforms) to deliver services. Clients acknowledge that:

  • Third-party services are subject to their own terms, policies, and fees.
  • Royal Market is not responsible for changes, downtime, errors, or discontinuation of third-party services.
  • Third-party fees (ad spend, subscriptions, hosting) are the Client’s responsibility unless explicitly included in the service package.

12. Cancellation and Termination

12.1 Cancellation by Client

Clients may cancel services in accordance with our Return & Refund Policy. For monthly retainers, a 14-day written notice is required before the next billing cycle.

12.2 Termination by Royal Market

Royal Market reserves the right to terminate services immediately if the Client:

  • Fails to make timely payments
  • Engages in abusive, threatening, or unethical behavior
  • Requests illegal or prohibited services
  • Breaches any provision of these Terms

12.3 Effect of Termination

Upon termination:

  • The Client is responsible for paying for all services rendered up to the termination date.

13. Limitation of Liability

14. Indemnification

The Client agrees to indemnify, defend, and hold harmless Royal Market and its representatives from any claims, liabilities, damages, losses, costs, or expenses (including legal fees) arising from:

  • Client-provided content that infringes third-party rights
  • Client’s misuse of deliverables or services
  • Client’s violation of these Terms or applicable laws
  • Disputes between the Client and third parties

15. Force Majeure

Royal Market shall not be held liable for any failure or delay in performing services due to circumstances beyond our reasonable control, including but not limited to natural disasters, pandemics, cyberattacks, internet outages, government actions, third-party platform failures, or other force majeure events.
